1. Acceptance of Terms

Welcome to Folzera (the “Platform”), operated by WISE TREE TECHNOLOGY CO., LIMITED (“we”, “our”, or “us”). These Terms of Use (“Terms”) govern your access to and use of our website, mobile applications, and all associated services, features, and content (collectively, the “Services”).

By accessing or using the Platform in any manner, including browsing, registering an account, or viewing any content, you acknowledge that you have read, understood, and unconditionally agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Platform or any of our Services.

We reserve the right to update, modify, or replace these Terms at any time without prior notice. Any changes will be posted on this page with an updated “Last Updated” date. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms. Please review these Terms periodically.

If you are using the Platform on behalf of an entity, organisation, or company, you represent and warrant that you have the authority to bind that entity to these Terms.

4. Account Registration

To access certain features of the Platform, you must register for a Folzera account.

4.1 Account Information. You agree to provide accurate, current, and complete information during the registration process and to update such information promptly to keep it accurate and complete.

4.2 Account Security. Your account is personal to you. You are solely responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account or any other breach of security.

4.3 Account Termination. We reserve the right to suspend, disable, or terminate your account at any time, for any reason, in our sole discretion, including but not limited to your failure to comply with any provision of these Terms. You may delete your account at any time; however, upon deletion, you will lose access to all or part of the Platform.

5. Licence to Use the Platform

Subject to your full compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable licence to access and use the Platform and its Content for your personal, non-commercial purposes.

This licence does not include:

• Any commercial use of the Platform or its Content;

• Any resale or redistribution of Content;

• Any downloading, copying, or other reproduction of Content for purposes other than personal viewing;

• Any use of data mining, robots, or similar data gathering and extraction tools.

All rights not expressly granted to you in these Terms are reserved by us and our licensors.

6. Content and Services

6.1 Content Availability. Folzera provides access to a library of short-form dramas and related content. We strive to offer a diverse and engaging selection; however, we do not guarantee that any specific Content will be available at any particular time.

6.2 Content Changes. We reserve the right to add, remove, suspend, or modify any Content on the Platform at any time, without notice and without liability to you. This includes, but is not limited to, the removal of Content due to licensing expiration, legal requirements, or operational decisions.

6.3 Content Quality. While we endeavour to provide high-quality Content, we do not warrant that the Content will meet your expectations, be error-free, or be suitable for any particular purpose.

6.4 Regional Restrictions. Certain Content may be subject to geographic restrictions due to licensing agreements or local laws. Access to such Content may be limited based on your location.

7. Paid Content and Payments

7.1 Paid Features. Certain Content or features on the Platform may require payment (collectively, “Paid Content”). By purchasing Paid Content, you agree to pay all applicable fees as described on the Platform.

7.2 Pricing. All prices are listed in the currency specified on the Platform and are subject to change at any time without prior notice. We will make reasonable efforts to notify you of any price changes before they take effect.

7.3 Payment Processing. We use third-party payment service providers to process transactions. By making a payment, you agree to be bound by the terms and conditions of the applicable payment provider. We do not store your full payment card information on our servers.

7.4 No Refunds. Unless otherwise required by applicable law or expressly stated on the Platform, all payments for Paid Content are final and non-refundable. We do not provide refunds or credits for partially watched Content, unused features, or changes in your preferences.

7.5 Taxes. You are responsible for all taxes, duties, and similar charges associated with your purchases, other than taxes based on our net income.

7.6 Authorised Purchases. If you are under the age of 18, any purchase must be made by your parent or legal guardian using their own payment method.

8. Intellectual Property Rights

8.1 Our Intellectual Property. All Content on the Platform, including but not limited to short-form dramas, text, graphics, logos, icons, images, audio clips, video clips, digital downloads, data compilations, and software, is the property of WISE TREE TECHNOLOGY CO., LIMITED or its licensors and is protected by copyright, trademark, and other intellectual property laws.

8.2 Trademarks. The Folzera name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of WISE TREE TECHNOLOGY CO., LIMITED. You may not use such marks without our prior written permission.

8.3 No Transfer of Rights. Nothing in these Terms transfers to you any ownership interest in or to any Intellectual Property of ours or our licensors.

8.4 Copyright Infringement. If you believe that any Content on the Platform infringes your copyright or other intellectual property rights, please contact us at legal@folzera.com with the following information:

• A description of the copyrighted work you claim has been infringed;

• A description of the allegedly infringing material and its location on the Platform;

• Your contact information (name, address, email, phone number);

• A statement that you have a good faith belief that the disputed use is not authorised;

• A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorised to act on their behalf.

9. User Content

9.1 Submission of User Content. Certain features of the Platform may permit users to upload, submit, or otherwise make available content, including but not limited to comments, reviews, feedback, and other materials (“User Content”).

9.2 Responsibility for User Content. You are solely responsible for all User Content you submit. You represent and warrant that:

• You own or have the necessary licences, rights, consents, and permissions to submit the User Content;

• Your User Content does not infringe the intellectual property rights, privacy rights, or other rights of any third party;

• Your User Content complies with all applicable laws and regulations.

9.3 Prohibited User Content. You agree not to submit any User Content that is:

• Unlawful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, invasive of another’s privacy, or hateful;

• Racially, ethnically, or otherwise objectionable;

• Infringing any intellectual property or other proprietary rights of any party;

• Containing software viruses, malware, or any other harmful code;

• Constituting unsolicited or unauthorised advertising or promotional materials.

9.4 Licence to User Content. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with the Platform and our business.

9.5 Removal of User Content. We reserve the right, but have no obligation, to monitor, review, edit, or remove any User Content at our sole discretion, for any reason or no reason, without notice.

10. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Unauthorised Access. Attempting to gain unauthorised access to any part of the Platform, other user accounts, or our computer systems;

• Automated Access. Using any robot, spider, scraper, or other automated means to access the Platform for any purpose;

• Interference. Interfering with or disrupting the integrity or performance of the Platform or the data contained therein;

• Misuse of Data. Using any data obtained from the Platform for any purpose other than as expressly permitted by these Terms;

• Commercial Exploitation. Repackaging, disseminating, or selling any Content or data obtained from the Platform for any commercial purpose;

• Violation of Laws. Using the Platform in any way that violates any applicable local, national, or international law or regulation;

• Impersonation. Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity;

• Spam. Sending unsolicited commercial communications through the Platform.

The Platform may contain links to third-party websites, services, or applications that are not owned or controlled by us. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services.

If you access a third-party website from the Platform, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of such sites. We encourage you to review the terms and privacy policies of any third-party sites you visit.

12. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES PROVIDED THEREIN ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;

• Warranties that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components;

• Warranties concerning the accuracy, reliability, completeness, or timeliness of any Content.

No advice or information, whether oral or written, obtained by you from us or through the Platform shall create any warranty not expressly stated in these Terms.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

13.1 Exclusion of Certain Damages. IN NO EVENT SHALL WISE TREE TECHNOLOGY CO., LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Platform;

• Any changes to or removal of Content;

• Unauthorised access to or alteration of your transmissions or data;

• Statements or conduct of any third party on the Platform;

• Any other matter relating to the Platform.

13.2 Cap on Liability. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS (US$100.00).

13.3 Applicability. Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless WISE TREE TECHNOLOGY CO., LIMITED, its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Platform in violation of these Terms;

• Your User Content;

• Your violation of any applicable law or regulation;

• Your violation of any rights of any third party, including intellectual property or privacy rights;

• Any dispute between you and any other user.

15. Termination

15.1 Termination by Us. We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to:

• A breach of these Terms by you;

• Non-performance of your obligations under these Terms;

• Any conduct that we, in our sole discretion, believe is harmful to us, other users, or third parties.

15.2 Termination by You. You may terminate your account at any time by following the instructions on the Platform or by contacting us at support@folzera.com.

15.3 Survival. Upon termination, all provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, limitation of liability, indemnification, and governing law provisions.

16. Governing Law and Dispute Resolution

16.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People’s Republic of China (“Hong Kong”).

16.2 Dispute Resolution. Any dispute, controversy, claim, or difference of any kind whatsoever arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall first be attempted to be resolved through good faith negotiations. If the parties are unable to resolve the dispute within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.

16.3 Waiver of Jury Trial. To the extent permitted by applicable law, you and we irrevocably waive any right to a trial by jury in any legal proceeding arising out of or relating to these Terms or your use of the Platform.

17. Miscellaneous

17.1 Entire Agreement. These Terms, together with our Privacy Policy and any other legal notices published by us on the Platform, constitute the entire agreement between you and us concerning your use of the Platform.

17.2 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

17.3 Waiver. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

17.4 No Agency. Nothing in these Terms shall be deemed to create an agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between you and us.

17.5 Assignment. You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer, or sublicense any of our rights or obligations under these Terms without restriction.

17.6 Language. These Terms are drafted in English. In the event of any discrepancy between the English version and any translated version, the English version shall prevail.

17.7 Notices. All notices and communications under these Terms shall be in writing and shall be deemed duly given when: (a) delivered personally; (b) sent by confirmed email; or (c) posted on the Platform.
